Skyworks and Qorvo clear the regulatory path to their proposed combination

Skyworks Solutions has received the regulatory clearances required for its proposed combination with Qorvo, removing one of the principal conditions attached to the transaction.
The companies now expect the mergers to close on or around 5 October 2026, subject to the satisfaction or waiver of the remaining customary closing conditions. Regulatory clearance does not by itself complete the transaction.
A broad RF and mixed-signal portfolio
Skyworks and Qorvo agreed the cash-and-stock combination in October 2025. The two businesses supply radio-frequency, analogue and mixed-signal semiconductors across smartphones, cellular infrastructure, broadband, automotive, industrial, aerospace and defence applications.
Skyworks describes the portfolios as complementary. The clearance announcement does not identify product-line changes, manufacturing consolidation, channel changes or a timetable for integrating the two operations.
Closing remains the next formal milestone
The transaction still depends on its remaining closing conditions. Skyworks has also been conducting exchange offers for Qorvo senior notes, although completion of the mergers is not conditional on the outcome of those offers.
Until the deal closes and the combined company sets out its operating plans, the announcement changes the regulatory status of the transaction rather than the commercial status of individual products.
