TTM agrees $650m acquisition of Ophir Optics

The proposed deal adds infrared imaging and laser-optics capabilities, while leaving MKS’s separate laser-characterisation business outside the transaction.

TTM Technologies has agreed to acquire MKS’s Ophir Optics business for approximately $650m in cash, adding optical design and manufacturing to its existing electronics and interconnect operations.

Ophir Optics manufactures infrared thermal-imaging and laser-optics components and assemblies, with production facilities in Israel and Romania. Its work spans initial optical design through manufacture, camera integration and final testing, serving industrial, security and defence applications.

The transaction excludes Ophir Instruments, MKS’s separate laser-characterisation business. It also excludes the sale of the Ophir brand. Those distinctions leave the planned transfer focused on the optics operation rather than the full range of products carrying the Ophir name.

TTM expects the deal to close in the second quarter of 2027, subject to regulatory approvals and other conditions. It plans to fund the acquisition through a combination of cash, future cash flow and borrowing under its existing revolving credit facility.

The agreement would extend a portfolio that already includes advanced PCBs, substrates, RF components and microwave assemblies into another part of an imaging system’s hardware. The companies have not announced changes to individual product supply arrangements as part of the transaction.
